Terms & Conditions

The following terms and conditions govern the sale by the Utah Micro, LLC entity named on the invoice/packing slip that will be provided to the Customer on orders for computer systems and/or related products and services sold in the United States. By accepting delivery of the computer systems and/or other products and services described on that invoice/packing slip, Customer agrees to be bound by and accepts these terms and conditions. THESE TERMS AND CONDITIONS APPLY (i) UNLESS THE CUSTOMER HAS SIGNED A SEPARATE FORMAL PURCHASE AGREEMENT WITH   OUR COMPANY, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN OR (ii) UNLESS OTHER Utah Micro, LLC STANDARD TERMS APPLY TO THE TRANSACTION. These terms and conditions are subject to change without prior written notice at any time, at our sole discretion.

Terms 

All sales are due on receipt.  No cash refunds.  Terms of payment are within our sole discretion, and, unless otherwise agreed to by us, payment must be received by Utah Micro, LLC prior to our acceptance of an order. Orders are not binding upon Utah Micro, LLC until accepted by Utah Micro, LLC. Any quotations given by Utah Micro, LLC will be valid for the period stated in the quotation.

Returned check fee is $25.  Unpaid balances will accrue interest charged at the rate of 21% APR.  Late fees are $25/month.

Utah Micro, LLC accepts the following payment types; Cash, Visa, MasterCard, Novus, American Express and Company check.  A processing fee may be required on Credit Cards.

Collection of past due and closed accounts

The customer is responsible for all collection fees, document fees, court fees and all attorney fees or any other fees incurred during the collection process.

Court jurisdiction is the State of Utah, Salt Lake County

Sales Tax

Sales Tax is collected in Utah.  Prices shown do not include sales tax or shipping and handling charges, if applicable. Utah Micro, LLC will collect from, and Customer is responsible to pay for, sales and all other taxes associated with the order, unless Utah Micro, LLC is provided a valid Tax Exemption form (TC721).  Sales outside of Utah are the responsibility of the customer, with their states tax authority.

Warranty

All warranties are with the manufacturer and not Utah Micro, LLC.  Utah Micro, LLC provides no warranties, expressed or implied, of merchantability, of any product, and shall not be liable in any form for any direct, indirect or consequential damages, including, but not limited to loss of data, anticipated profits, or business reputation.  Purchaser indemnifies Utah Micro, LLC against any and all claims.

Manufacturer does not warrant against defects or damages resulting from improper or abnormal use.

Employees or representatives’ Oral or other written statements do not constitute warranties, and shall not be relied upon by the buyer, and are not a part of the contract for sale or the warranty.

ALL SOFTWARE IS PROVIDED SUBJECT TO THE LICENSE AGREEMENT THAT IS PART OF THE PACKAGE. CUSTOMER AGREES TO BE BOUND BY THE LICENSE AGREEMENT ONCE THE PACKAGE IS OPENED OR ITS SEAL IS BROKEN. Utah Micro, LLC DOES NOT WARRANTY ANY SOFTWARE UNDER THIS AGREEMENT. WARRANTIES, IF ANY, FOR THE SOFTWARE ARE CONTAINED IN THE LICENSE AGREEMENT THAT GOVERNS ITS PURCHASE AND USE.

DOA

Dead on arrival items will be repaired or replaced for a period of 30 days from invoice date at the discretion of Utah Micro and the manufacturer of the product to the original purchaser.  Most items have to be returned to the manufacturer for replacement and/or repairs.  Utah Micro will determine the method to be used.  All DOA products that are no longer available will be replaced with a product similar in specifications.

RMA

No returns are accepted without prior written authorization from Utah Micro, LLC. Returned items must be enclosed in their original packaging, containing all items including documentation and must be accompanied by a copy of the invoice.  Any returned product not meeting these requirements will be refused, or charged an additional fee.

Canceled Orders

Items refused or returned are subject to a 20% restocking fee.  These fees must be paid in full before any other orders are processed.

Product Availability

Limited stock is available. Utah Micro is unable to stock all items available from the manufacturer.  Delivery on some items may be drop shipped directly from the manufacturer.  These items must be prepaid by credit card.  Shipping and Handling will be determined on shipment date.

Special Order

All special orders items must be prepaid in advance of shipment.  The full amount must be secured by credit card.  A special order fee may be added to the order, and is non-refundable.  Special order items may not be returned for credit.

Delivery Terms

We ship promptly based on product availability.  You must provide a delivery address, as we cannot ship to a P.O. Box.  Some rural locations may require additional delivery time and additional charges.

We regret that we do not support international shipments.

Title passes upon shipment and risk of loss passes upon delivery by our carriers.

Shipping & Handling

All shipping and handling fees are the responsibility of the customer.  Any damages incurred during shipment are the responsibility of the delivery carrier.  All damage claims must be handled directly with the delivery carrier.

Service

Service is available for all computer needs.  Onsite service is available in the greater Salt Lake area.

Managed Service Agreements

Service agreements, including Managed Service agreements are covered individually by each agreement.

Termination of the Service Agreement will result in an “Early termination fee” which will not exceed the total amount of the agreement fees charged for the term of the agreement.
